Arieh M. Flemenbaum is admitted to practice in Illinois and in Florida. Arieh focuses in the areas of business and corporate law, business transactions (including mergers and acquisitions, selling a business, business loans, etc.), commercial contracts, business succession (and exit planning), commercial real estate matters, estate planning, probate administration, and internet, e-commerce and technology licensing. Arieh is fluent in Spanish, proficient in French and Hebrew.
Business & Corporate Law: Arieh counsels businesses concerning formation, organization, ownership and management structuring, buy-sell and other shareholder agreements, mergers, sales and acquisition transactions, dissolutions, turnarounds and business succession.
Business Deals: Arieh also guides businesses concerning their daily operations, including reviewing, revising and drafting a variety of contracts, purchase orders, warranties and sales forms, website terms of use and disclaimers; developing employment policies, employee and executive compensation and termination/severance packages, "phantom stock" and other incentive and pension programs; and addressing loans and financing needs for expansion, working capital and new ventures.
Business Succession: Arieh also provides closely-held businesses, family businesses, and partnerships with asset protection planning; wealth management services, including ensuring collaboration and co-operation between your business and financial teams (i.e., your accountant, financial advisor and banker); and coordinating your individual estate plan with your business succession planning (and exit strategy).
Internet, E-Commerce & Technology: Arieh assists business owners in protecting their rights in and monetizing their intellectual property, including, copyrights, trademarks, trade secrets, software, source codes, and technology. Arieh helps companies with their technology licensing. Arieh assists business owners to expand their established business into the internet and e-commerce. He helps businesses structure their service agreement to keep their information technology vendors accountable and negotiates and prepares various internet and e-commerce agreements for development, software development and maintenance services, linking and co-branding agreements. He helps businesses navigate the ever expanding regulations (and consumer demands) regarding privacy, information and data security, the use of social media and other emerging technologies. Arieh also counsels E-commerce/E-business enterprises and drafts their website terms of use, privacy policies, and disclaimers.
